Agreement to Terms

By accessing our website or using the services of Offsheet Pty Ltd ("Offsheet," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access our services.

Fees and Payment

Fees, targets, and scope are specified in your individual service agreement, which prevails over this summary. Our services are offered as two engagements:

The Market Test (introductory engagement)

The Engine (managed engagement)

Late payments may result in suspension of the service.

Guarantee

The Market Test carries a reach guarantee: if we do not send to the agreed minimum number of qualified decision makers in your market within 14 days of your approval of the campaign, you receive a full refund of the up-front fee and the engagement ends. Once that minimum has been reached, the up-front fee becomes non-refundable, as stated at signing. The guarantee is measured on sending — a defined, verifiable deliverable within our control — and applies only where you have met your stated responsibilities, including timely campaign approval and provision of required inputs. Guarantees do not extend to outcomes downstream of our service, such as calls held, closed deals, or revenue.

Infrastructure and Accounts

Running an outbound campaign requires sending infrastructure and access to certain of your accounts. To avoid confusion, the following applies unless your agreement states otherwise:

Intellectual Property

Our property: Offsheet retains ownership of its methodologies, models, scoring logic, processes, software, and proprietary systems.

Your property: You retain ownership of your business data, customer information, and materials you provide.

Deliverables: The Market Map account and contact list, the reply data, and campaign materials created specifically for you become your property. The underlying methodologies, scoring rationale, and systems used to create them remain Offsheet property.

Website content: All content on this website, including text, graphics, logos, and software, is the property of Offsheet and protected by copyright and trademark laws.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement, including business strategies, customer data, campaign performance, and trade secrets. This obligation survives termination.

Data and Privacy

We collect and process business contact information in accordance with the Australian Privacy Act 1988 (Cth) and the Spam Act 2003 (Cth). See our Privacy Policy for details on how we handle data.

SMS

We may send text messages to follow up on business conversations and schedule calls. Reply STOP to unsubscribe at any time; we will confirm and stop sending. Reply HELP for assistance. Message and data rates may apply, and carriers are not liable for delayed or undelivered messages.

Limitation of Liability

Offsheet provides services on an "as is" basis. We do not guarantee specific outcomes beyond the defined deliverables in your agreement, including any particular number of closed deals or amount of revenue. Sales results depend on factors beyond our control, including product-market fit, pricing, market conditions, and your sales execution.

THE WEBSITE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the website or services will be uninterrupted, error-free, or free of harmful components. To the maximum extent permitted by law, Offsheet shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or website, including lost profits, lost revenue, or lost business opportunities. Nothing in these terms excludes rights or guarantees that cannot lawfully be excluded, including under the Australian Consumer Law.

Termination

Either party may terminate the service agreement according to the notice provisions in the applicable contract. Upon termination: we provide any completed work product and the deliverables you have paid for; outstanding payments remain due; and confidentiality obligations survive.

Dispute Resolution

Any dispute arising from these terms or our services shall first be addressed through good-faith negotiation. If negotiation fails, the dispute shall be resolved in the courts or by arbitration in the applicable jurisdiction set out in your agreement.

Governing Law

These terms are governed by the laws of New South Wales, Australia, and the federal laws of Australia applicable therein

Our website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of those sites.

Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Modifications to Terms

We may modify these terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the new terms.
